Such insurence polfcy or policies shall contain an endorsement requiring the insurer(s) of the Parties hereto to likerise give notice as stated herein. 10.4 In the event Carle Clfnic receives notice of any proposed cancellation, termination or �odificetion of the insurance policy of the Provider, Carle Clinic reserves the right to continue such insurance policy in force for the Provider, if possfble, and to deduct the amount of premium that might be due from any co�peneation oMing to the Provider. The purpose of this reservation of right is to aseure that there is ineurance coverage againet cleims as provided in this Agreement. This paragraph imposes no duty upon Carle Clinic to exercise such right, but ■erely gives Carle Clinic the right to do so if it desires. 10.5 Carle Clinic shall not be liable for any claim, injury, damages, demand or �udgment based on negligence or any other legal grounds (including, but not limited to, �arrenty of �erchantability, contract or products liability>, erising out of the rendering of Demonstration Services by Provider or the sele, dietribution, provision, wanufacturing or use of any item, good or service provided by Provider to eny Petient in accordance vith thie Agreement. Further, Provider ehall eave and hold harmless, defend and indemnify Cerle Clinic, its officers, directors, agents and employees fro� any and all suits, causes of action, claims, demands, expenses, coste, �udgment and interest arising out of the rendering of Demonetration Services by Provider, or distribution, provision, �anufacturing or use of any item, good or service provided by Provider to any Patient in accordance rith this Agree�ent. 10.6 Carle Clinic shall save and hold harmless, defend end indemnify Provider, ite officere, directors, agents and employees from any �i -9-
