Page 5 <br /> 6 . Minority Business Enterprise. In connection with the <br /> performance of this Agreement, the SERVICE AGENT shall cooperate <br /> with the project sponsor in meeting its commitments and goals <br /> with regard to the maximum utilization of Disadvantaged Business <br /> Enterprises and Women Business Enterprises and will use its best <br /> efforts to insure that Disadvantaged Business Enterprises and <br /> Women Business Enterprises shall have the maximum practicable <br /> opportunity to compete for subcontract work under this Agreement. <br /> 7 . Assignment or Transfer of Agreement. This Agreement <br /> shall not be assigned, transferred, hypothecated or pledged by <br /> either party without the prior written consent of the other <br /> party. <br /> 8. Amendment of Agreement. This contract contains the <br /> entire agreement between the CITY and SERVICE AGENT and no oral <br /> agreement, promise, statement or representation which is not <br /> contained herein shall be binding upon CITY or SERVICE AGENT. <br /> All amendments of this Agreement shall be in writing and executed <br /> by the respective parties to the Agreement. <br /> 9 . Breach of Contract. Upon failure of either party to <br /> comply with any of the terms, conditions or provisions hereof, <br /> the other party may provide written notice to the party in <br /> non-compliance and give it 15 days to remedy the situation <br /> specified in such notice. If the CITY is the party in <br /> non-compliance, the SERVICE AGENT may declare a breach of <br />
