AGREEMENT <br /> AGREEMENT By and Between the City of Decatur, Illinois, a <br /> municipal corporation ("City") and Jensen-Oldani and Associates, <br /> Inc. , a corporation ("Jensen" ) . <br /> For and in consideration of the promises and obligations <br /> hereinafter made and assumed, the City and Jensen hereby agree as <br /> follows: <br /> 1 . Jensen will search for, recruit and evaluate candidates <br /> for the position of Director of Safety Services with the City, in <br /> substantial compliance with the procedures therefor as outlined <br /> and described in the letter from Jensen to Mr. Charles L. <br /> Phillips dated July 11, 1989 , said letter being attached hereto, <br /> marked Exhibit A and hereby made a part hereof. <br /> 2 . The City will pay to Jensen a fee of not more than <br /> Fifteen Thousand Dollars ($15,000 .00) for the services performed <br /> as described in paragraph 1 hereof, and shall be liable for such <br /> fee, or portion thereof, only at such times as described in the <br /> paragraph entitled "Cost Estimates" contained in Exhibit A <br /> hereto. <br /> 3 . In addition to the fee described in paragraph 2 hereof, <br /> the City will reimburse Jensen for all expenses incurred in the <br /> performance of the duties described in paragraph 1 hereof, said <br /> expenses to include travel, advertising, long distance charges <br /> and postage. All travel expenses, and other direct expenses not <br /> expressly listed in this paragraph, must be approved by the City <br /> Manager or his designate in advance; if not so approved, the City <br />
