removal and transplanting shall be that of the City. The City <br />� does not guarantee the longevity of the tree or trees so removed <br /> and transplanted. <br /> 5. 2. Assiqnment . The City shall not , without the prior <br /> written consent of the Authority, (a) assign or convey this <br /> Agreement or any interest under it, (b) lease, sublet or <br /> subassign the premises or any part thereof, or (c) permit the use <br /> or occupancy of the premises or any part thereof by any person <br /> other than the City, or for any use other than for the Commodore <br /> Stephen Decatur monument site. <br /> 5. 3. Separability. If any term, condition covenant or <br /> provision of this Agreement or the application thereof to any <br /> person or circumstance shall , to any extent, be invalid or <br /> unenforceable, the remainder of this Agreement or the application ' <br /> of such term or provision to persons or circumstances other than <br /> those to which it is held invalid or unenforceable shall not be <br /> affected thereby, and such term, covenant , condition and <br /> provision of this Agreement shall be valid and enforced to the <br /> fullest extent provided by law. <br /> 5 . 4. Effect of Waiver of Breach. No consent or waiver, <br /> expressed or implied, by the Authority or the City to or of any <br /> breach of any covenant, condition or duty of the other party <br /> tbereto, shall be construed as a consent or waiver to or of any <br /> breach of the same or any other covenant, condi�ion or duty. <br /> -8- <br />
