That the Company shall, at its own expense, defend <br /> all suits that may be brought against the City on account of or in <br /> connection with the violation by the Company of any of the <br /> obligations imposed upon or assumed by the Company hereunder, or by <br /> reason of or in connection with any damage to life, limb or property <br /> caused by any structures constructed by the Company under and by <br /> virtue of this Ordinance or by reason of the doing, or failure to <br /> do, any act by the Company in or about the construction, operation <br /> or maintenance of said system and shall save and keep harmless the <br /> City from any and all damages, judgments, costs and expenses of <br /> every kind that may arise or result by reason of the negligence of <br /> the Company, or by reason of, or growing out of, or connected with <br /> the Company's construction, operation and maintenance of said <br /> system, (including violation of copyright) , provided, that notice in <br /> writing shall be given to the Company within fourteen (14) days <br /> after notice thereof is received by the City of any claim or suit <br /> against the City which, by the terms hereof, the Company has hereby <br /> agreed to save and keep harmless the City and it is agreed that the <br /> Company shall be obligated to defend, and provided further that the <br /> City shall furnish to said Company all information in its possession <br /> relating to said claim or suit, and cooperate with said Company in <br /> the defense of said claim or suit. The governing body of the City <br /> may, if it so desires, assist in the defending of such claim or <br /> -17- <br />
