<br /> EXECUTION OF A PURCHASE CONTRACT AMONG THE CITY
<br /> OF DECATUR, MACON COUNTY, ILLINOIS, DECATUR MEMORIAL
<br /> HOSPITAL AND SMITH BARNEY, HARRIS UPHAM & CO.
<br /> INCORPORATED AND OTHER UNDERWRITERS DATED AS OF
<br /> OCTOBER 6, 1983 , WITH RESPECT TO $17, 560, 000 HOSPITAL
<br /> FACILITY REFUNDING REVENUE BONDS, SERIES 1983
<br /> ( DECATUR MEMORIAL HOSPITAL) , TO BE ISSUED BY THE CITY
<br /> WHEREAS, the Council of the City of Decatur, Macon
<br /> County, Illinois (the "City" ) , heretofore on July 5 ,
<br /> 1983, adopted Ordinance No. 83-48 entitled:
<br /> "AN ORDINANCE authorizing the issuance of not
<br /> to exceed $22 , 500 , 000 Hospital Facility
<br /> Refunding Revenue Bonds , Series 1983
<br /> ( Decatur Memorial Hospital) by the City of �
<br /> Decatur, Macon County, Illinois, and approving
<br /> the execution and delivery of a Second
<br /> Supplemental Trust� Indenture, dated as of
<br /> July l, 1983 , a Loan Agreement, dated as
<br /> of July 1, 1983 , a Bond Trust Indenture,
<br /> dated as of July 1, 1983 , an Official
<br /> Statement to be dated on or about July. ,
<br /> 20 , 1983 , and a proposed Purchase Contract �
<br /> to be dated on or about July 20, 1983 , '�
<br /> pertaining to said issue and related �
<br /> matters . " ',
<br /> ( the "Bond Ordinance" ) , which ordinance authorized and I
<br /> directed certain City officials to execute and deliver
<br /> a Supplemental Indenture ( as defined therein) , a Loan
<br /> Agreement ( as defined therein) , a Bond Indenture (as
<br /> defined therein ) , an Official Statement ( as defined
<br /> therein ) , and a Purchase Contract ( as defined therein) ;
<br /> and,
<br /> WHEREAS, because of adverse conditions in the bond
<br /> market, the bonds authorized by the Bond Ordinance ( the
<br /> "Bonds" ) were not sold pursuant to a Purchase Contract
<br /> dated during July, 1983 , and it is therefore necessary
<br /> for the Council to approve changes in the dates of the
