INTERGOVERNMENTAL AGREEMENT FOR FIBER MANAGEMENT SERVICES <br /> This Intergovernmental Agreement("IGA" or"Agreement") is entered into between Illinois Department <br /> of Innovation and Technology("DoIT"), an Illinois State Agency, and the City of Decatur("Public <br /> Agency"),a municipal unit of government, pursuant to the Illinois Constitution (Art.VII, Sec. 10) and the <br /> Intergovernmental Cooperation Act(5 ILCS 220/3 et seq.). DoIT and Public Agency are collectively <br /> referred to herein as"Parties"or individually as a "Party". <br /> RECITALS <br /> A. Public Agency owns a fiber optic network("Fiber Optic Network") in the State of Illinois. <br /> B. DoIT, owns, manages and maintains the Illinois Century Network("ICN") (20 ILCS 3921/1-2), a <br /> high-speed telecommunications network that provides reliable communication links to and <br /> among Illinois schools, institutions of higher education, libraries, museums, research <br /> institutions, State agencies, units of local government, and other local entities that provide <br /> broadband service to Illinois citizens. <br /> C. Public Agency desires to have DoIT provide services ("Fiber Management Services")to the Fiber <br /> Optic Network. <br /> D. Public Agency agrees to maintain a service level purchase of ICN Services at a minimum value of <br /> $3,000 for the term of this maintenance agreement. <br /> Accordingly, in consideration of the mutual promises set forth in this Agreement,and other good and <br /> valuable consideration,the receipt and sufficiency of which are hereby acknowledged,the parties <br /> hereby agree as follows: <br /> ARTICLE 1- EXHIBITS <br /> 1.1 Exhibits.The following exhibits are attached hereto, incorporated herein and made a part of this <br /> Agreement by references: <br /> i) Exhibit A: Contacts and Escalations <br /> ARTICLE 2- PRICING <br /> 2.1 In consideration of the agreement of DoIT to provide Fiber Management Services to Public <br /> Agency, Public Agency shall provide payment based on the following table: <br /> i) Fiber Maintenance Table <br /> (1) Basic Maintenance Services <br /> 3 <br />
