VIII <br /> BINDING EFFECT <br /> This Agreement shall be binding upon and inure to the benefit of the parties,their <br /> successors and assigns. This Agreement and the duties and responsibilities defined herein <br /> may not be transferred or assigned to another individual or entity without the express written <br /> consent of the parties hereto. <br /> IX <br /> SAVING CLAUSE <br /> Should any article, section or portion of this Agreement be held unlawful or <br /> unenforceable by any court of competent jurisdiction, such decision of the court shall apply <br /> only to that specific article,section or portion thereof, and insofar as may be possible shall <br /> not affect the remaining provisions otherwise appearing herein.
