MOTOROLA SOLUTIONS <br /> repair or replacement of defects resulting from any nonstandard or improper use or conditions or <br /> from unauthorized installation of software. <br /> 3.4 The parties agree that ASTRO 25 SUA II coverage and the parties'responsibilities described in <br /> this Statement of Work will automatically terminate if Motorola no longer supports the ASTRO 25 <br /> 7.x software version in the Customer's system or discontinues the SUA II program;in either case, <br /> Motorola will refund to Customer any prepaid fees for System Upgrade Agreement services <br /> applicable to the terminated period. <br /> 3.5 Motorola may suspend or terminate the ASTRO 25 SUA II if the following conditions apply: <br /> ■ Customer fails to pay Motorola any fees for the ASTRO 25 SUA II when due <br /> ■ Customer breaches the Software License Agreement or other applicable agreement <br /> ■ Customer's rights to use the software under the Software License Agreement expire or are <br /> terminated <br /> ■ Customer replaces its Motorola System with a system from another manufacturer <br /> ASTRO 25 System Upgrade Agreement II SOW May 1,2013 <br /> 6of10 <br />
