2. Nonpayment of cost sharing charges as set forth herein; or <br /> 3. The refusal or declination of any participant to be bound by any of its <br /> obligations under these By-Laws or as set by the Executive Board or the <br /> Operations Group. <br /> B. Conditions of withdrawal: <br /> 1. Withdrawal shall not be effective until three hundred sixty-five (365) days <br /> after the date of notice in A. 1. above, or the events described in A. 2. or <br /> A. 3. above. <br /> 2. After notice of withdrawal, the withdrawing member/participant shall <br /> continue to be responsible for: <br /> a. Payment of 100% of its pro-rata share of CIRDC's liabilities and <br /> debt obligations existing on the date of withdrawal; <br /> b. Payment of its share of operational costs through the effective date <br /> of its withdrawal; <br /> c. Continuing compliance with any contractual obligations it has <br /> separately signed with CIRDC; <br /> d. The prompt return of CIRDC's assets and equipment in its <br /> possession; and <br /> e. If its withdrawal results in termination of the Central Illinois Regional <br /> Dispatch Center Intergovernmental Agreement, then the <br /> withdrawing member shall participate in the termination of the <br /> Central Illinois Regional Dispatch Center Intergovernmental <br /> Agreement as set forth in Article VII, Section D. of these By-Laws. <br /> C. If the withdrawal of a member reduces the number of remaining members <br /> to less than that required to keep CIRDC operational, and if two-thirds <br /> (2/3) of the remaining members vote to dissolve CIRDC, then the Central <br /> Illinois Regional Dispatch Center Intergovernmental Agreement shall <br /> terminate, and CIRDC as an entity shall be dissolved. Upon dissolution, <br /> and after the payment of all debts, all assets and liabilities of CIRDC shall <br /> be proportionately distributed among the remaining members who had <br /> participated in CIRDC for more than one (1) year before the dissolution. <br /> The proportion a member receives is the ratio of its payments for the <br /> preceding five (5) years to the total payments made by all members at <br /> dissolution during the five (5) years preceding dissolution. <br /> 12 <br />
