property damage, Five Million Dollars($5,000,000)per occurrence. Sublessee, in addition, shall <br /> maintain workers compensation insurance on behalf of all of Sublessee's employees who are <br /> assigned to work in the Subleased Premises. All insurance policies required on the part of <br /> Sublessee by this Sublease must be issued by reputable companies which are empowered to <br /> transact business in the State of Illinois, and which are reasonably satisfactory satisfacto to Landlord and <br /> Sublessor. Landlord and Sublessor shall be additional named insureds on all such policies. Upon <br /> written request by Landlord or Sublessor, Sublessee shall deliver duplicate copies of such policies <br /> or appropriate certificates of insurance, signed by authorized representatives of Sublessee's <br /> commercial insurance carriers,which name Landlord and Sublessor as an additional insured party, <br /> must be delivered to Landlord and Sublessor by Sublessee. <br /> 9. Alterations. Sublessee shall not cause or permit any material change,alteration or <br /> addition to or upon any part of the Subleased Premises without first obtaining the written consent <br /> of Sublessor,which may be withheld for any reason. <br /> 10. Liens. Sublessee shall keep the Subleased Premises,and the land on which it sits, <br /> free from any liens, including but not limited to mechanic's liens, arising from any act or failure <br /> to act on the part of Sublessee. <br /> 11. Right to Inspect.During any Term of this Sublease, Sublessor and Landlord shall <br /> have the right to enter upon the Subleased Premises during all regular business hours, without <br /> notice. <br /> 12. Maintenance and Utilities. Throughout the term of this Sublease, Landlord shall <br /> be responsible for maintenance of the Subleased Premises, including,but not limited to,the costs <br /> and expenses of repairing,operating,and maintaining the HVAC systems. Landlord shall pay for <br /> all utility expenses incurred in the operation of the Subleased Premises, namely natural gas and <br /> electricity. Landlord shall also pay all trash removal expenses. <br /> 13. General Provisions. <br /> a. Amendments. This Sublease may only be amended by an instrument in writing <br /> signed by the Parties. <br /> b. Assignment. Sublessee may not assign this Sublease or the rights or obligations <br /> hereunder without the specific written consent of the Sublessor. <br /> c. Counterparts, Facsimile and pdf Signatures. The Parties agree that this Sublease <br /> may be executed in multiple originals,each of which shall be considered an original <br /> for all purposes and, collectively, shall be considered to constitute this Lease. The <br /> Parties further agree that signatures transmitted by facsimile or in Portable <br /> Document Format(.pdf)may be considered an original for all purposes,including, <br /> without limitation,the execution of this Lease and enforcement of this Sublease. <br /> d. Entire Agreement. This Sublease supersedes all previous contracts, agreements or <br /> understandings between the Parties with respect to the Subleased Premises and <br /> Page 3 of 6 <br />
