Johnson Project Development Agreement <br /> Controls <br /> PROJECT DEVELOPMENT AGREEMENT <br /> BETWEEN <br /> City of Decatur Johnson Controls,Inc. <br /> One Gary K.Anderson Plaza. AND 4231 Westgate Drive <br /> Decatur,IL 62523 Springfield,IL 62711 <br /> The purpose of this Project Development Agreement(PDA) is to confirm the intent of Johnson Controls, Inc. (JCI)and the <br /> Customer named above to develop an Energy Savings Performance Contract("Program"). This agreement will provide the <br /> basis of the scope of the PDA,the obligations of both parties,the financial metrics to be met,the intended outcomes and <br /> timeline. <br /> 1. Scope of Services <br /> It is the Parties' mutual understanding this PDA will identify the anticipated outcomes of the Program, if implemented, <br /> the roles and responsibilities of each party in developing a preliminary Program Pro-Forma, as well as the requirements <br /> necessary in order for the parties to enter into a subsequent formal agreement to implement the Program. It is both <br /> Parties' mutual understanding that this PDA will include the facilities and public infrastructure as listed below: <br /> • City Street Lighting <br /> • Civic Center <br /> • Library <br /> • City Parking Lots <br /> Provide for the development of Facility Improvement Measures(FIMs)at some or all of the Customer's facilities that will <br /> fund themselves out of energy,operational savings and capital cost avoidance.Where possible assist the Customer by <br /> providing additional improvements to reduce the Customer's deferred maintenance backlog or desired facility <br /> improvement measures not affordable otherwise.The FIMs of focus for the PDA are listed below: <br /> • LED street lighting conversion:Evaluate and identify possible street lighting upgrades to LED. Provide customer <br /> with smart technology level options throughout the development that can become part of a smart city plan. <br /> • HVAC: Evaluate and identify existing HVAC equipment at customer sites named above. Determine possible <br /> efficiency and life-cycle improvements. Focus will be on major equipment systems(e.g. boilers,chillers, air- <br /> handling units,VAV boxes, unit ventilators,etc.) <br /> • Building Automation System (BAS):Evaluate and identify opportunities for BAS upgrades and integration of <br /> buildings to existing BAS. <br /> • LED interior and exterior conversion: Evaluate and identify possible interior and exterior lighting upgrades to <br /> LED. Provide customer with technology options throughout the development that can become part of a smart <br /> plan. <br /> • Renewable Energy Evaluate and identify possible renewable energy improvements throughout the Customer's <br /> buildings(e.g.solar,etc.) <br /> Additional FIMs can be evaluated if agreed upon by both parties. <br /> JCI will also provide the following to the customer as a part of the PDA: <br /> 0 2018 Johnson Controls,Inc.
