3. The costs of energy and maintenance of the traffic control devices shall be shared between the <br /> County and the City in proportion to the number of approaches each unit of government <br /> maintains,as identified and set forth in EXHIBIT A. <br /> 4. The County shall reimburse the City for the County's proportionate share of energy charges,as <br /> set forth in EXHIBIT A. <br /> 5. "Traffic Control Devices" as used herein shall include all devices for the control of traffic <br /> identified in EXHIBIT B, attached hereto and incorporated by reference. <br /> 6. The City shall maintain the devices in accordance with the State of Illinois' Department of <br /> Transportation standards specified in EXHIBIT B, and in accordance with the minimum <br /> requirements of the version of the Illinois Manual on Uniform Traffic Control Devices for Streets <br /> and highways in effect on the effective date of this Agreement. <br /> 7. Modernization of traffic control devices is not included in this Agreement. <br /> 8. Maintenance of traffic control devices shall be performed by the City or its contractors approved <br /> by the County Engineer. All services provided under this Agreement shall be performed in <br /> compliance with applicable state and federal laws. <br /> 9. If, in the sole judgment of the County Engineer,the City fails to maintain the traffic control <br /> devices described herein in accordance with the applicable standards,the County shall notify <br /> the City in writing, setting forth in detail any claimed maintenance deficiencies. The City shall <br /> correct maintenance deficiencies identified in the notice within thirty(30) days. If the City fails <br /> to correct the maintenance deficiencies identified in the notice within thirty (30)days,or such <br /> additional time as the parties may from time to time agree,the County may arrange for <br /> correction of the maintenance deficiencies. The County shall not be required to pay the City for <br /> maintenance deemed deficient and not corrected by the City. <br /> 10. Subcontracting, assignment or transfer of all or part of the maintenance of the traffic control <br /> devices identified herein shall be prohibited without the prior written consent of the County. <br /> 11. In the event all or part of the maintenance is sub-contracted, assigned, or transferred to a third <br /> party, the terms and conditions of this Agreement shall become applicable to and binding upon <br /> said third party,which shall be required, as a condition of sub-contracting, assignment or <br /> transfer,to comply with the terms and conditions of this Agreement. <br /> 12. The County shall reimburse the City for any county authorized pavement marking maintenance <br /> required for the operation of the traffic control signals maintained by the City pursuant to this <br /> Agreement. <br />
