C. Material non-compliance includes, but is not limited to,the following: <br /> i. Failure,for any reason,of the Subrecipient to fulfill in a timely and proper manner its <br /> obligations under this Agreement. <br /> ii. Ineffective or improper use of funds provided under this Agreement. <br /> iii. Submission of reports by the Subrecipient to the CITY which are late,or incorrect or <br /> incomplete in any material respect. <br /> D. In the event and as a result of material non-compliance,the City may take one or more of the <br /> following actions: <br /> i. Withhold cash payments pending correction of the deficiency by the Subrecipient. <br /> ii. Disallow and/or deny both use of funds and matching credit for all or part of the cost <br /> of the activity or action not in compliance; <br /> iii. Wholly or partially suspend or terminate the current award for the Subrecipient's <br /> program; <br /> iv.Withhold further awards for the program or take other remedies that may be legally <br /> available including, but not limited to, terminating this Agreement,seeking <br /> compensatory and/or liquidated damages for breach of this Agreement,or injunctive or <br /> equitable relief in any court of competent jurisdiction. <br /> E. Failure to complete work orders within 5 days following receipt of the work order shall be <br /> withdrawn and reissued to another contractor/organization and may be considered a default of <br /> this contract. <br /> Section 6. REGULAR MEETING REQUIREMENT. Subrecipient agrees to meet on a regular or as needed <br /> basis with the designated staff member of the City's Neighborhood Revitalization Division to discuss <br /> general and/or specific issues of this Agreement. <br /> Section 7. RECORD REQUIREMENTS. <br /> A. Subrecipient shall provide the City access to any books, documents, papers and other <br /> records of the Subrecipient which pertain to the Project for the purpose of monitoring, making <br /> audits, examinations,excerpts,transcripts and photocopying. <br /> B. The records which must be maintained include, but are not limited to: <br /> i. Financial records including payroll records, invoices, contracts, and other <br /> documents demonstrating the nature and use of each payment and showing <br /> approval of the Program Director or other authorized official as well as such <br /> financial reports and additional source documentation as the City may be <br /> required to be retained and maintained by the Subrecipient. <br /> ii. Payroll records consisting of a basic time and activity tracking system <br /> maintained to substantiate the services and staff time charged to the Project <br /> 4 <br />
