-4- <br /> by Majority Vote of Council for subsequent 2 year terms (each 2 year term being a"Subsequent <br /> Term") on such further terms and conditions mutually agreeable to Council and City Manager. <br /> (c) Any failure not to extend will be: (i)without liability to City; and (ii)not a <br /> breach of Agreement. <br /> (d) Upon City Manager's completion of Initial Termand one Subsequent <br /> Term, failure of the Agreement to be extended by Council shall enti�le City Manager to <br /> severance as provided in A.2 of attached Compensation and Benefit Policy. <br /> ARTICLE V <br /> Termination and Suspension of Employment <br /> 5.1 City For Cause. Council may terminate employment for cause: <br /> (a) if City Manager has violated local, state or federal laws or regulations <br /> prohibiting the harassment of another person on the basis of sex, race, co or, religion, national <br /> origin, ancestry, age, marital status, physical or mental handicap, genetic information, sexual <br /> orientation or citizenship status, sufficient evidence has been provided thei eof, and Council has <br /> determined such violations to be material and intentional; or <br /> (b) if City Manager intentionally fails to perform or is grossly negligent in <br /> performance of his work, or refuses to abide by or comply with reasonable directives of Council; <br /> or <br /> (c) if City Manager materially violates any of the confidentiality restrictions <br /> contained in Article VI or any of the conflict of interest restrictions containo in Article VII; or <br /> (d) if City Manager is convicted (to include entry of alea of guilty or non <br /> contendere) by a court of competent jurisdiction of commission of a�criminal act which <br /> adversely affects City's reputation; or <br /> (e) if City Manager commits an act that is willfully dishonest or fraudulent in <br /> performance of his work, sufficient evidence has beenprovided thereof, and Council has <br /> determined the consequence to be adverse to City; or <br /> (f) if upon Council's request City Manager fails to su�mit to the physical, <br /> medical or toxicological examination(s)required in Section 2.7; or <br /> (g) if City Manager tests positive for use of alcohol or illegal drugs (including <br /> drugs that are legal with a prescription if City Manager does not possess aprescription) which in <br /> the reasonable judgment of Council,renders City Manager unable to perform his work. <br /> If Council is considering terminating employment on the basis of subparagraphs (a), (b) or (c) <br /> above, Council must specify the violation or failure in a notice to City Manager prior to <br /> terminating employment under this Section 5.1 and Council must then allow City Manager at <br /> least a 30 day period to correct, or substantially cure, the violation or failure,, <br />
