CONTRACT <br /> This letter will serve as confirmation of the terms of the engagement of DCC Marketing Group, LLC. <br /> ("DCC' or"us"), by City of Decatur ("you") in connection with various marketing and advertising services <br /> and certain other services which may be requested by you from time to time. <br /> The initial term of ihis agreement is twelve months. After the initial term, this agreement will <br /> automaticaily be renewed but may be terminated by either you or us on [60] days prior notice. The period <br /> from the date of this agreement until the effective date of termination is referred to as the "Term." After <br /> the Term, DCC wilt be entitled to payment for all work performed during the Term. During the Term, you <br />' agree that you will not engage any other individual (other than as an employee) or entity to perform the <br /> services contemplated under this agreement. <br /> You a ree to a DCC an annual fee of$48,000 amortized at $4000 er month over a 12 month term. <br /> 9 PY p <br /> This fee equates to 480 hours of time on services. Any fee for time on services performed by DCC which <br /> exceeds 480 hours during the term will be mutually agreed to by both parties and billed at an hourly rate <br /> of $100/hour. Your monthly billing statement wili incorporate a detailed listing of hours spent for that <br /> month and a total hours used against the overall 480 hours. If 480 hours are utilized in full prior to the <br /> completion of a 12 month timeframe, you will remain responsible for the remaining payment terms. <br />' In addition to our fee for services, ou a ree to a us for materials and lacement services, includin , <br /> Y 9 PY P 9 <br />', without limitation, printing, film work, photocopying, ad placement and the services of independent <br /> contractors.
