' ��� i <br /> � s e �? <br /> 4 1 � <br /> INDEMNIFICATION <br /> NCS shail indemnify and hold harmless Customer for injury, death, and <br /> property damage due to negligent acts and omissions of NCS, its agents and <br /> employees which arise out of work performed under this Agreement. <br /> If NCS is required to clean or wax floors when being used by employees, <br /> customers, tenants or business visitors of Customer, Customer shall, <br /> notwithstanding NCS's negligence and to the full extent permitted by law, �' <br /> indemnify and hold harmless NCS from claims for injury and death resulting , <br /> therefrom. NCS shall use "Wet Floor" signs when mopping, waxing, or <br /> stripping floors. <br /> NCS shall not be liable for disposal of documents or valuable items left on <br /> floors next to, in or on trash cans. <br /> AGREEMENT NOT TO HIRE EMPLOYEES OF NCS <br /> Customer hereby expressly covenants and agrees that at no time during the <br /> term of this Agreement, or for a period of six (6) months immediately following <br /> the termination thereof, (whether such termination is voluntary or involuntary) <br /> will he for himself, or in behalf of any other person, partnership, joint venture, <br /> company or corporation hire, employ or otherwise utilize the services of any <br /> employees of NCS to perform any of the services covered under this <br /> Agreement. Customer and NCS hereby agree that if Customer breaches this <br /> Agreement, Customer will pay NCS damages equal to six times the amount <br /> billed Customer for the last full month of service. <br /> ENTIRE AGREEMENT <br /> This Agreement and the Specifications contained in the Proposal constitutes <br /> the entire Agreement between NCS and Customer. All prior negotiatians <br /> between the parties are merged into this Agreement and there are no <br /> understandings or agreements other than those incorporated herein. This <br /> Agreement may not be modified except by written instrument signed by both <br /> parties. <br /> NOTICES <br /> Notices, requests, demands and other communications hereunder shall be in <br /> writing and delivered or mailed with postage prepaid at the address herein <br /> listed. <br /> BtND/NG <br /> This Agreement shall inure to and bind the successors and representatives of <br /> the parties. <br />
