: � <br /> � <br /> cnM i �os <br /> 411 South Wells, Chicago, illinois 60607 Phone:(312)922-9211 Fax: (312)922-9689 http://www.camiros.com <br /> This Agreement, made and entered into this��y of Jy liV " , 2006_, by and between <br /> Camiros, Ltd., an Illinois corporation,with offices at and whose mailing address is 411 South <br /> Wells Street, Chicago, Illinois 60607, (referred to as the"CONSULTANT")and the Decatur <br /> Urbanized Area Transportation Study, Decatur, Illinois whose mailing address is 1 Gary K. <br /> Anderson Plaza,Decatur, Illinois, 62523 (referred to as the "CLIENT"). <br /> WITNESSETH: <br /> WHEREAS the CLIENT desires to engage the services of CONSULTANT to furnish technical <br /> and professional assistance in connection with preparing a comprehensive plan for Macon <br /> County, Illinois hereinafter referred to as the"PROJECT"; and <br /> WHEREAS CONSULTANT has indicated its willingness to provide such technical and <br /> professional services to CLIENT; <br /> WHEREAS the CLIENT has decided to engage the CONSiJLTANT to carry out the PROJECT <br /> in two components as follows: <br /> Component A—A pre-established scope of services attached to and made expressly part of <br /> this agreement,titled Attachment 1. <br /> Component B—Performance of research, and preparation of drawings, charts or memoranda <br /> and reports directed to special planning, zoning, and/or growth management studies; and <br /> attendance at meetings that are beyond the number of ineetings set forth in Component A <br /> above. <br /> WHEREAS the CLIENT and CONSULTANT have agreed that Component A services shall be <br /> compensated for by payment of a predetermined lump sum fee; and Component B services shall <br /> be compensated for on an hourly fee basis plus reimbursement of expenses associated with <br /> performance of Component B services. <br /> NOW THEREFORE, the CLIENT and the CONSULTANT, far the consideration herein set <br /> forth, agree that the CONSULTANT will perform the professional services and the CLIENT will , <br /> perform its coordinating, research and supportive activities, both in accordance with the <br /> procedure set forth below: <br /> A. Scope of CONSULTANT Service—Component A <br /> CONSULTANT agrees to perform the "services" required to complete the PROJECT in a <br /> timely and professional manner. Said CONSULTANT services are set forth in Attachment 1 <br /> (Scope of Consultant Services)attached to and expressly made part of this agreement. <br /> B. Scope of CONSULTANT Services—Component B <br /> Performance of research, analysis, and preparation of plans and reports directed to special <br /> planning, zoning and growth management studies that are beyond the scope of work <br />
