O. The ETSB shall be responsible for all costs of providing any hardware or software <br /> required to comply with state and federallaws and regulations regarding equal access to <br /> E9-1-1 service to those who are speech or hearing impaired. � <br /> N <br /> LIABILITY <br /> A. The ETSB shall hold harmless the City, its Council members, officers, employees <br /> and agents, in both their individual and official capacities, from all claims for damages to <br /> any equipment owned by the ETSB and used for System purposes,as defined at 50 ILCS <br /> 750/0.01 et seq.,except in cases of gross negligence. <br /> B. The City shall hold harmless the ETSB, and its Board members, officers, <br /> employees and agents, in both their individual and official capacities, from all claims for <br /> damages to any equipment owned by the City and used for System purposes, as defined at <br /> 50 ILCS 750/0.01 et seq., except in cases of gross negligence. <br /> C. The ETSB shall obtain and keep in place during the term of this Agreement, and <br /> any extensions thereof, comprehensive general liability insurance, including,but not <br /> limited to, coverage for errors and omissions and providing for costs of defense, for all <br /> activities related to the operation of the Enhanced 9-1-1 system,as defined in 50 ILCS <br /> 750/0.01 et seq., in an amount of not less than $1,000,000 single limit, $2,000,000 <br /> aggregate,for bodily injury,death and property damage to any one(1)person and subj ect <br /> to the same limitations for any one(1)occurrence. The policy issued for the above- <br /> described coverage shall name the City as additional insured, and shall be subject to the <br /> approval of the City's Risk Manager. Such insurance shall not be canceled prior to the <br /> termination of this Agreement. <br /> D. Prior to the commencement of the term of this Agreement,the ETSB shall file <br /> with the City,and at all times thereafter during the term of this Agreement keep in full <br /> force and effect, a Certificate of Insurance, in a form acceptable to the City, signed by an <br /> authorized agent of the insurance company or companies writing the insurance described <br /> in said Certificate showing complete coverage of a11 insurance required in Para.graph C <br /> above. Such Certificate sha11 certify to the following: Name and address of parties <br /> insured; name(s) of the insurance company or companies; name and address of authorized <br /> agent executing such Certificate; a description of that type of insurance,the coverage <br /> afforded thereunder;the insu.rance policy numbers;the limits of liability of such policies <br /> and the date of expira.tion of such policies. Further,the insurance companies shall certify <br /> that said policies shall not be modified, canceled or terminated until after no less than <br /> thirty(30) days written notice to the City. The Certificate shall specifically state that the <br /> City is named as an additional insured on the comprehensive general liability insurance <br /> described above.
