VIII <br />' BINDING EFFECT <br />, This Agreement shall be binding upon and inure to the benefit of the parties,their <br /> successors and assigns. This Agreement and the duties and responsibilities defined herein may <br /> not be transfened or assigned to another individual or entity without the express written consent <br /> of the parties hereto. <br /> IX <br /> SAVING CLAUSE <br /> Should any article, section or portion of this Agreement be held unlawful or <br /> unenforceable by any court of competent jurisdiction, such decision of the court sha11 apply only <br /> to that specific article, section or portion thereof, and insofar as may be possible sha11 not affect <br /> the remaining provisions otherwise appearing herein.
