<br /> and the CITY shall assist EAST LAKE in connection therewith. In the event such
<br /> employees are not available, the CITY shall promptly designate alternate employees for
<br /> such coordination.
<br /> 8. At or prior to the termination or expiration of this Agreement, EAST LAKE
<br /> shall use commercially reasonable efforts to restore the premises to the condition it
<br /> existed immediately prior to the date hereof (except if such condition is damaged by
<br /> casualty or "Acts of God", for which EAST LAKE shall have no obligation therefor),
<br /> including the removal of pavement, gravel, temporary utilities, fencing and other
<br /> improvements, and shall grade and seed the premises with grass seed.
<br /> 9. EAST LAKE does hereby fully and forever, on its own behalf, release and '�,
<br /> discharge the CITY and the CITY Council Members, CITY employees, officers and �i
<br /> agents, in both individual and official capacities, from any and all claims, demands,
<br /> damages, rights of action or causes of action, present or future, whether the same be
<br /> known, anticipated or unanticipated, resulting from or arising out of any the
<br /> PERMITTEES's use of the premises hereunder, except any such claims, demands,
<br /> damages, rights of action or causes of action arising out of the negligent acts or omissions
<br /> of the CITY or any of its agents or employees.
<br /> 10. To the extent provided by law, EAST LAKE shall indemnify and hold
<br /> harmless the CITY and its Council members, officers, employees and agents, in both
<br /> individual and official capacities, from all claims for bodily injury, death or property
<br /> damage resulting from or arising out of the PERMITTEES's use of the premises, and
<br /> from all costs, demands, suits, losses, reasonable attorney's fees and liabilities actually
<br /> incuned in or about any such claim for bodily injury, death or property damage or any
<br /> action or proceeding brought thereon, except any such claims, demands, damages, rights
<br /> of action or causes of action arising out of the negligent acts or omissions of the CITY or
<br /> any of its agents or employees.
<br /> 11. Upon execution of this Agreement, and prior to any of the PERMITEES
<br /> occupying and using the premises, EAST LAKE shall obtain, and keep in force during
<br /> the term hereof, the following insurance coverage provided by insurance companies
<br /> acceptable to the CITY and authorized to transact business in the State of Illinois. All
<br /> such companies shall have a rating not lower than A- in the Best's Key Rating Guide, and
<br /> shall have a financial size category of not less than VI. Such coverage shall provide
<br /> comprehensive general liability and property damage insurance in an amount of not less
<br /> than $2,000,000.00 aggregate, $1,000,000.00 single limit. The coverage shall provide by
<br /> endorsement that the CITY shall be named as an additional insured with respect to the
<br /> policies and any excess liability coverage for occunences arising in whole or in part out
<br /> of the use of the premises hereunder. EAST LAKE shall file with the CITY certified
<br /> copies of the original policies or certificates of insurance setting forth the coverage, limits
<br /> and endorsements required herein. In no event shall any failure of the CITY to receive
<br /> certificates, or to demand receipt thereof, be construed as a waiver of EAST LAKE'S
