then requesting payment. Owner shall pay to Developer the amount of such invoices (less <br /> a ten percent (10%) retainage as to actual construction cost, such retainage to be paid to <br /> Developer upon completion of the Construction Work) plus Owner's compensation as <br /> provided in Article 7.B. Owner shall also reimburse Developer the amount of the fees <br /> described in Article 6.C. <br /> B. As compensation for Developer's employment or providing of all <br /> professional services necessary to complete the Plans and Developer's services for the <br /> completion of the responsibilities and activities described in Article 3: <br /> (a) To review the Plans to determine that the Plans are appropriate, and <br /> to cause such revision to the Plans as requested by Owner; <br /> (b) To employ such professional architects, engineers, and surveyors as <br /> may be required in the ordinary course of completing the Construction Work; <br /> (c) To obtain bids from the subcontractors approved by Owner for the <br /> completion of the Construction Work, the letting of an actual construction contract(s) <br /> subject to Owner's prior approval; and <br /> (d) To provide Developer's legal staff to negotiate with Target in order <br /> to complete the Operating and Easement Agreement and Site Development Agreement as <br /> contemplated in the Target Purchase Agreement, such agreements subject to the approval <br /> of Owner, Owner shall pay to Developer a fee equal to ten percent (10%) of the Cost of <br /> the Construction Work to be paid at the time Owner makes progress payments as <br /> described in Article 7.A. <br /> s <br />
