the CITY immediate notice of any suit or action filed or prompt notice of any claim <br /> arising out of the performance of the Contract. The OWNER'S REPRESENTATIVE <br /> shall furnish immediately to the CITY copies of all pertinent papers received by the <br /> OWNER'S REPRESENTATIVE. <br /> 6.7 SUBCONTRACTORS <br /> The OWNER'S REPRESENTATIVE shall require its subcontractors, if any, to purchase <br /> from and maintain in a company or companies lawfully authorized to do business in the <br /> jurisdiction in which the project is located insurance coverage and limits which are at <br /> least equal to that required to be maintained by the OWNER'S REPRESENTATIVE. <br /> Such insurance shall list the OWNER'S REPRESENTATIVE and the CITY as additional <br /> insureds. <br /> 6.8 INSPECTION OF COVERAGE5 <br /> The CITY reserves the right to inspect in person, prior to commencement of the work, all <br /> of the OWNER'S REPRESENTATIVE's insurance policies in regard to insurance <br /> required herein. ', <br /> 7.0 INDEMNIFICATION II <br /> 7.1 LIABILITIES AGAINST CITY '� <br /> The OWNER'S REPRESENTATIVE agrees to indemnify, defend,keep and save harmless <br /> the CITY and its agents, employees and officers from any and all claims, demands, suits at <br /> law or equity, actions, penalties, losses, damages, or costs, of whatsoever kind or nature, <br /> brought against the CITY arising out of, in conjunction with, or incident to the execution <br /> of this Agreement due to the OWNER'S REPRESENTATIVE's negligent performance or <br /> failure to perform any aspect of this Agreement, including errors or omissions of the <br /> OWNER'S REPRESENTATIVE, its employees, servants and agents. However, if such <br /> claims are caused by or result from the concurrent negligence of the CITY, its agents, <br /> employees or officers, then this indemnity provision shall be valid and enforceable only to <br /> the extent of the negligence of the OWNER'S REPRESENTATIVE so long as no <br /> condition herein shall require the OWNER'S REPRESENTATIVE to hold harmless or <br /> defend the CITY, its agents, employees and officers from any and all claims arising from <br /> the sole negligence of the CITY, its agents, employees and officers. <br /> 7.2 USE OF CITY'S NAME <br /> The CITY reserves the right to review and approve the copy related to the CITY's <br /> purchase prior to publication. The OWNER'S REPRESENTATIVE will not allow the <br /> CITY-related copy to be published in the OWNER'S REPRESENTATIVE's adver- <br /> tisements or public relations programs until after submitting the CITY-related copy and <br /> receiving prior written approval from the CITY. The OWNER'S REPRESENTATIVE <br /> will agree that published information on the CITY or its program will be factual and in no <br /> way imply that the CITY endorses the OWNER'S REPRESENTATIVE's firm, service, or <br /> product. <br /> Decatur Public Transit Syste�n <br /> Owner's Representative 7 <br />
