� - 3. Suspension. The City may suspend Employee with full pay and benefits at any <br /> time during the term of this Agreement, if a majority of a quorum of the City Council, present at <br /> a public meeting thereof, votes to suspend Employee for just cause, provided however that <br /> Employee shall have been tendered written notice by the City setting forth any charges against <br /> him at least ten(10) calendar days prior to such public hearing. <br /> 4. Termination. (a) In addition to the foregoing, the City may terminate this <br /> Agreement at any time, for cause or no cause, by appropriate action of the City Council, which <br /> action shall include a majority vote of a lawfully constituted quorum of the City Council present <br /> at such a meeting. If this Agreement is terminated by the City for cause, which cause shall be <br /> limited to acts or omissions of Employee constituting a felony, or a misdemeanor involving <br /> moral turpitude, in the course of his duties as City Manager, Employee shall not be entitled to <br /> any severance package or benefits as may be described within § 4(c) hereof, and Employee shall <br /> have other duties and obligations of reimbursement as set forth herein. <br /> (b) Employee may terminate this Agreement at any time, for cause or no cause, upon <br /> the provision to the City of written notice at least sixty(60) days prior to such termination. Such <br /> written notice shall be delivered to the Clerk of the City with a copy thereof delivered to James <br /> E. Peckert, Esquire, 101 South Main Street, Suite 200, P. O. Box 860, Decatur, Illinois <br /> 62525-0860, and such written notice shall provide an effective date of such termination. Should <br /> Employee terminate this Agreement as set forth herein, Employee shall not be entitled to any <br /> severance package or benefits as may be described within § 4(c)hereof, and Employee shall have <br /> other duties and obligations of reimbursement as set forth herein. <br /> (c) If this Agreement is terminated by the City, without cause as defined within § 4(a) <br /> hereof, at any time within the applicable term hereof, the City shall pay, as severance pay, to <br /> 3 <br />
