7. Disputes/Termination <br /> Each party may terminate this Contract with thirty (30) days written notice to the <br /> other party. In the event of such termination, the Client shall pay the Consultant <br /> its compensation and expenses to and through the actual date of termination as <br /> well as any reasonable expenses incurred as a consequence of terminating this <br /> Project, upon documentation of those costs by written invoice to the City. <br /> Notwithstanding the above, Consultant shall not be relieved of any liability to the <br /> Client for damages sustained as a result of any breach of this Agreement by <br /> consultant; and following written notification of termination. Client may withhold <br /> any payments to Consultant for the purpose of set off until such time as the eYact <br /> amount of damages due to City from Consultant are determined. <br /> 8. E:ccusable Delays <br /> Consultant shall not be in default by reason for failure to perform this Agreement in <br /> accordance with its terms, including any failure by Consultants to make progress in <br /> the prosecution of the work, if such failure arises out of causes beyond the control and <br /> without fault or negligence of the Consultant. Such causes may include, but are not <br /> limited to, acts of God, or the public enemy, acts of;overnment either in its <br /> sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, <br /> � strikes, freight embargos, and unusally severe weather. In every cause, the failure <br /> to perform must be beyond the control and without any fault or negligence of the <br /> Consultant and the work must be promptly and diligently performed once the cause <br /> is removed. <br /> 9. Ownership of Documents <br /> All original final documents, studies, or�raphic material, drawings, plans, and <br /> digital files prepared by the Consultant for the project shall be deemed the <br /> property of the Client e:ccept as to confidential matters or trade secrets or the <br /> Consultant, but only after the periodic payment by the Client for same. <br /> 10. Public Relations <br /> W1ien the products of the Agreement are deemed not to be confidentiai by the Client, <br /> including but not limited to, any documents or materials prepared for public <br /> distribution. The Consultant shall have the right to retain and utilize copies of all <br /> work it produces on the project for citation and dissemination in the Consultant's <br /> resume, brochures and other generally recognized forms of professional public <br /> relations. <br /> , <br /> -�- <br /> _ � � � � ._ <br />
