11. Successors and Assigns All the terms and provisions of this Agreement shall inure to and be binding upon the Parties hereto and their respective successors and assigns. Neither the Client nor the Consultant shall assign, sublet or transfer its interest in this Agreement without written consent of the other, except as stipulated in the Scope of Services. 12. Extent of A�reement This Agreement represents the entire and integrated agreement between the Client and the Consultant in relation to the Scope of Services outlined in Paragraph 1 above and supersedes all prior negotiations, representations, or agreements, either written or oral. This Agreement may be amended only by written instrument signed by the Client and the Consultant. 13. Interest of Consultant The Consultant convenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of services required to be performed under this AQreement. The Consultant further covenants that in its performance of this Agreement, no person having such interest shall be employed. 14. Support of Results The Consultant agrees to assist in any manner reasonable and under separate contract in the implementation of the recommendations resulting from this engagement and to provide e:cpert witnesses in anv litigation resulting from any phase of the :�greement at an hourly cost plus eYpenses based on professional services rendered. 15. Severability Should any of the provisions of this Agreement be determined to be violauve of any state law or city ordinance, that shall not affect the validity of the other terms of this Agreement and there shall be added to this contract a legal, valid or enforceable term or provision as similaz as possible to the stricken provision. 16. Applicable Law Parties agree that Illinois Law is controlling in interpreting this Agreement. -�- _ �
