other contractual obligations there may be in connection with the acquisition by the City of the <br /> transit system to be managed, supervised and operated by ATE and TMD. Notwithstanding the <br /> foregoing, all financial obligations arising therefrom shall be considered a direct operating <br /> expense of the transit system and shall be paid directly or reimbursed to TMD by the City. ATE '� <br /> guarantees the performance of all obligations on TMD's part to be performed hereunder. <br /> 9. Any amendments, modifications, changes, extensions, or renewals of collective <br /> bargaining agreements or other employee contractual agreements as may hereafter be entered into <br /> by TMD shall require the prior approval of the City; provided, however, that nothing in any <br /> collective bargaining Interim Agreement between the management company and transit <br /> employees shall be construed as a restriction or limitation on the right of the City to enter into a <br /> contract or to make arrangements with other entities for the provision of mass transportation <br /> services. <br /> 10. In the event TMD in order to perform its duties and obligations under this Interim <br /> Agreement, has or shall, with the approval of the City, contract with, or obligate itself to, another <br /> or others, City shall, upon the expiration or other termination of this Interim Agreement, assume <br /> itself, or cause to be assumed by others, the obligation or liability of TMD thereunder. <br /> 11. City shall furnish all property either real, personal or mixed and all office space, <br /> garaging and repair facilities, furniture, equipment, buildings, buses, other motor vehicles, <br /> supplies, materials, utilities and other services as may be reasonably required to properly and <br /> efficiently manage, supervise and operate said transit system, all of which said property shall be <br /> and remain the properiy of City. <br /> 12. ATE and TMD shall make no alterations in or additions to any of said property <br /> without obtaining the prior consent of the City. <br /> 5 <br />
