No portion of the funds paid by the City or the <br /> County pursuant hereto to the Commission shall be used for any <br /> purpose inconsistent with the conditions of the Bond Resolution <br /> and this Lease. <br /> C. The obligations of the Commission hereunder are <br /> subject to the Commission' s ability to sell its Bonds in an <br /> amount deemed reasonably sufficient by the Commission to carry <br /> out the proposed Project. The Commission agrees to use its best <br /> efforts to sell such Bonds with all due diligence. If the Com- <br /> mission is unable to sell Bonds in accordance with the provisions <br />' of this Lease and should determine for such reason to abandon the <br /> Project, then, and in such event, the parties hereto shall have <br /> the option. to terminate this Lease, and they shall thereby be <br /> relieved of all responsibilities for performance hereunder . <br /> Also, in the event of such termination, the City and <br /> the County shall reimburse the Commission for any and all ex- <br /> penses incurred by, or claims made against, the Commission as a <br /> result of its participation in the Project, including but not <br /> being limited to all architectural, engineering and attorneys ' <br /> fees incurred prior to such termination. <br /> D. The Commission shall have access into, through and <br /> upon the leased premises at any and all reasonable times for the <br /> purpose of inspecting the premises, such inspection to be pur- <br /> suant to reasonable notice and to be made at reasonable times so <br /> as to minimize any interference with the use being made by the <br /> City and the County in their use of the leased premises. <br /> -19- <br />
