No Executive Board member or Operations Group member shall receive a salary <br /> or compensation from CIRDC solely for serving as a member of the Executive <br /> Board or the Operations Group. <br /> A. EXECUTIVE BOARD <br /> 1. Membership <br /> The Executive Board shall consist of the Macon County Board Chair or <br /> his/her designee, the Mayor of the City of Decatur or his/her designee, <br /> and a member of the community at large recommended by the Macon <br /> County Emergency Telephone System Board and approved by both of the <br /> foregoing Executive Board members. The community at large Executive <br /> Board member cannot be employed by, or serve with, the City of Decatur <br /> government or the Macon County government. The community at large <br /> Executive Board member so selected shall serve a term of two (2) years in <br /> length. <br /> 2. Chair, Vice-Chair, and Secretary/Treasurer <br /> At its annual meeting, the Executive Board shall elect one of its members <br /> to serve as a Chair, another to serve as a Vice-Chair, and another to <br /> serve as a Secretary/Treasurer. The Macon County Board Chair or his/her <br /> designee, shall serve as Chair of the Executive Board in odd numbered <br /> years, and the Mayor of the City of Decatur or his/her designee, shall <br /> serve as Chair of the Executive Board in even numbered years. The Chair <br /> shall conduct the meetings of the Executive Board. In the absence of the <br /> Chair, the Vice-Chair shall perform the duties of the Chair. Each officer <br /> elected shall assume his or her office at the close of the annual meeting. <br /> 3. Officers <br /> The Chair, Vice-Chair, and Secretary/Treasurer of the Executive Board <br /> shall have the following duties and responsibilities. <br /> a. Chair <br /> The Chair shall: <br /> i. Oversee all business and affairs of CIRDC; <br /> ii. Execute any documents as authorized by the Executive <br /> Board or these By-Laws; <br /> iii. Perform all duties incidental to the office of Chair, and those <br /> that may be prescribed by the Executive Board; <br /> 3 <br />
